These Terms of Service (“Terms”) govern your use of the TicketSmart platform, including all related websites, applications, and services. By accessing or using TicketSmart, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Platform Overview

TicketSmart is an event ticketing platform that enables event organizers to create, manage, and sell tickets for their events. We provide the technology infrastructure and payment processing integrations. TicketSmart is not the organizer, host, or promoter of any event listed on the platform.

Event organizers are independent third parties who are solely responsible for all aspects of their events, including content, pricing, fulfillment, venue arrangements, and compliance with local laws and regulations.

2. Account Registration and Security

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account credentials
  • Immediately notify us of any unauthorized access to your account
  • Accept responsibility for all activity under your account
  • Not create multiple accounts for deceptive purposes

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Ticket Purchases and Payments

When you purchase a ticket through TicketSmart:

  • You are entering into a transaction with the event organizer, not TicketSmart
  • All prices are displayed in the applicable currency and include any platform fees
  • Payment is processed securely through Stripe at the time of purchase
  • A confirmation email with your ticket(s) and QR code(s) will be sent to your registered email
  • Ticket purchases are subject to the organizer's refund policy and our platform Refund Policy

Tickets are subject to availability. We do not guarantee that any event will take place as scheduled. If an event is modified, postponed, or cancelled, the organizer is responsible for communicating changes and handling refunds.

4. Organizer Responsibilities

If you use TicketSmart as an event organizer, you agree to:

  • Provide accurate event information including date, time, venue, and ticket details
  • Honor all tickets sold through the platform
  • Handle refund requests in accordance with your stated refund policy, applicable law, and TicketSmart's organizer refund-settlement rules
  • Comply with all applicable local, state, and federal laws, including consumer protection, accessibility, and tax regulations
  • Maintain appropriate insurance and permits for your events
  • Not use the platform to sell tickets for events you do not have authorization to host
  • Keep your Stripe Connect account in good standing

TicketSmart reserves the right to remove events that violate these Terms or applicable law.

5. Fees and Pricing

TicketSmart charges service fees for ticket sales processed through the platform. Current fee structures are detailed on our Pricing page. Fees may include:

  • Platform fee: a per-ticket service charge
  • Payment processing fees: Stripe transaction fees passed through at cost

Fee structures may change with reasonable notice. Free events are not subject to platform fees. Organizers can choose to absorb fees or pass them on to buyers at checkout, while organizer-triggered Stripe refunds always waive TicketSmart's own fee for the refunded scope.

6. Intellectual Property Rights

The TicketSmart platform, including its design, code, logos, and documentation, is owned by TicketSmart and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

Event organizers retain ownership of their event content (descriptions, images, branding) and grant TicketSmart a limited license to display this content on the platform for the purpose of promoting and selling tickets.

7. What You Cannot Do

You agree not to:

  • Use the platform for any unlawful purpose
  • Attempt to gain unauthorized access to other accounts, systems, or data
  • Scrape, crawl, or use automated tools to extract data from the platform
  • Interfere with or disrupt the platform's checkout, access control, or check-in systems
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Upload malicious code, viruses, or harmful content
  • Create events for the purpose of fraud, money laundering, or deception
  • Circumvent rate limits, security measures, or access controls
  • Resell tickets at inflated prices in violation of applicable anti-scalping laws

8. Ticket Transfers and Resale

Ticket transfers are available through the platform's built-in transfer feature. When you transfer a ticket:

  • The original ticket is invalidated and a new ticket is issued to the recipient
  • The original buyer remains the contact for the order
  • Transfers are subject to the organizer's transfer policy

Unauthorized duplication, resale, or distribution of tickets or QR codes is prohibited and may result in ticket invalidation.

9. Limitation of Liability

To the maximum extent permitted by law:

  • TicketSmart provides the platform “as is” without warranties of any kind, express or implied
  • We are not liable for the conduct of event organizers, including event cancellations, changes, or failures
  • Our total liability for any claim arising from use of the platform shall not exceed the fees you paid to TicketSmart in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages

10. Indemnification

You agree to indemnify and hold harmless TicketSmart, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third party's rights.

11. Dispute Resolution

Between buyers and organizers: disputes regarding events, ticket fulfillment, or refunds should first be addressed directly with the event organizer. TicketSmart may assist in facilitating resolution but is not obligated to mediate.

Between users and TicketSmart: any disputes arising from these Terms will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in accordance with applicable rules, unless prohibited by law.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or extended inactivity. Upon termination:

  • Your access to the platform will be revoked
  • Outstanding obligations (payments, refunds) will remain enforceable
  • Your data will be handled in accordance with our Privacy Policy

You may delete your account at any time through your account settings.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the platform at least 14 days before taking effect. Continued use of TicketSmart after changes take effect constitutes acceptance.
